CAM Advises Ingredion Group on Investment and Strategic Partnership with Sanstar Ltd
Cyril Amarchand Mangaldas (CAM) played a crucial role in advising the Ingredion Group on its significant investment and long-term strategic partnership with Sanstar Limited. This strategic move by Ingredion, a leading multinational corporation (MNC) specializing in the manufacture of value-added ingredient solutions for various markets, marks a significant step in expanding its presence in the Indian market.
The partnership between Ingredion and Sanstar involves two key components: (a) Ingredion subscribing to 9% of Sanstar’s share capital as a strategic investor, and (b) the formation of a 70:30 joint venture for the manufacture, sale, and distribution of specialty pharmaceutical excipients and other high-value ingredient solutions. This collaboration aims to leverage Sanstar's strong local presence and expertise in corn-based specialty products to enhance Ingredion's offerings in the Indian market.
CAM provided comprehensive legal advice to Ingredion on all Indian law aspects of these transactions. The legal team, led by partners Anand Jayachandran and Megha Krishnamurthi, along with senior associates and associates, ensured that the transaction was structured to meet both companies' strategic objectives while adhering to Indian legal and regulatory frameworks.
Siddharth Singh, another partner at CAM, and his associate Rushi Panchal, focused on the real estate aspects of the transaction. Their expertise in this area was crucial in ensuring that the physical infrastructure and properties involved in the partnership were properly evaluated and managed.
Additionally, Avaantika Kakkar, a partner and head of the competition law practice at CAM, along with Of Counsel Anand Sree, provided essential advice on the competition law aspects of the transaction. Their insights helped ensure that the partnership complied with Indian competition laws and regulations, thereby minimizing any legal risks.
Ingredion is a global leader in the production of ingredient solutions, catering to the food, beverage, brewing, pharmaceutical, and industrial markets. Sanstar, a listed Indian company, is known for its expertise in manufacturing corn-based specialty products and ingredient solutions. This strategic partnership is expected to enhance both companies' market positions and drive innovation in the industry.
The collaboration between CAM and Ingredion demonstrates the firm's commitment to providing top-tier legal advice and support to multinational corporations entering or expanding their presence in the Indian market. With a team of experienced and specialized lawyers, CAM continues to be a trusted partner for complex and high-stakes transactions.
